GE HealthCare Expands U.S. PET Radiopharma Reach With SOFIE Deal

GE HealthCare’s pending $945 million SOFIE acquisition would expand its U.S. PET radiopharmaceutical manufacturing reach, preserve supply to existing customers, and add U.S. rights to FAPI-74.

GE HealthCare has agreed to acquire SOFIE Biosciences for $945 million in cash, adding a U.S. network for manufacturing and supplying PET radiopharmaceuticals. The transaction is pending: the companies expect it to close in the first half of 2027, subject to closing conditions including regulatory approvals. GE HealthCare says SOFIE will join its Pharmaceutical Diagnostics segment at closing.

What GE HealthCare agreed to buy

Under the definitive agreement announced October 5, 2026, GE HealthCare will acquire SOFIE Biosciences from Trilantic North America for $945 million in cash. The amount and timetable are from GE HealthCare’s announcement; they describe an agreed, not completed, acquisition.

SOFIE’s business gives GE HealthCare a larger role in the U.S. PET radiopharmaceutical supply chain. These products are time-sensitive, so manufacturing and delivery close to the point of use matter. GE HealthCare characterizes that role as the “final mile” of U.S. PET radiopharmaceutical supply; this is the company’s description of its strategy, not a separately measured market category.

SOFIE’s manufacturing footprint

GE HealthCare says SOFIE operates 15 U.S. contract manufacturing organization (CMO) sites using 21 cyclotrons. Cyclotrons produce radioisotopes used in PET radiopharmaceuticals. The release also refers to a theranostics-focused contract development and manufacturing (CDMO) site, but does not clarify whether that site is included in the count of 15 CMO sites.

GE HealthCare’s stated rationale is to extend its U.S. reach in time-sensitive manufacturing and supply, while participating in growth areas beyond its current product portfolio. Its October 5, 2026 release said, “The PET radiopharmaceutical market is expanding rapidly with the introduction of innovative radiotracers and advances in precision care, including the growing adoption of targeted therapies.” The statement is attributed to the company, not to a named executive.

What the deal means for existing customers

GE HealthCare says SOFIE is expected to remain an independent manufacturing partner to its current customers after the acquisition closes. It also says SOFIE will continue supplying its existing portfolio, including products from other radiopharmaceutical providers. Those are plans announced for the post-close period, not a report of completed operational changes.

If carried out as described, this arrangement would let GE HealthCare acquire manufacturing capacity while preserving SOFIE’s supplier role for other providers. The announcement does not specify contract terms, service levels, or how operations will be managed after closing.

FAPI-74 rights and the earlier agreement

The acquisition announcement says GE HealthCare will receive U.S. rights to SOFIE’s Phase III F18 FAPI-74 asset. That differs from the rights described in GE HealthCare’s October 11, 2023 licensing announcement: at that time, GE HealthCare’s rights were outside the United States, while SOFIE retained U.S. clinical development and commercialization rights. The announcements establish a change in the rights described, but do not explain its legal mechanism.

FAPI-74 is one asset within a wider development landscape. GE HealthCare’s October 2026 release says approximately 20 PET radiotracers and more than 30 radiotherapeutics are under development. These are figures stated by the company in connection with the deal, not an independent count of the industry pipeline.

Closing timetable and what remains uncertain

GE HealthCare expects the acquisition to close in the first half of 2027, subject to closing conditions that include regulatory approvals. Until those conditions are met and the transaction closes, SOFIE remains a pending acquisition and the announced customer-continuity and segment plans remain prospective.
