The scheme took effect on November 3, 2025, after Mad Paws shareholders approved it and the Supreme Court of New South Wales approved the scheme. Rover acquired all of Mad Paws’ issued shares, and shareholders received A$0.14 in cash for each share held at the scheme record date.
What Rover paid for Mad Paws
The completed transaction paid Mad Paws shareholders A$0.14 cash per share. That was the consideration set out in the July 2025 scheme announcement and confirmed in Rover’s November 11 completion announcement. Rover’s completion announcement says the scheme became effective November 3, 2025, transferring 100% of Mad Paws’ issued shares to Rover.
Before completion, Mad Paws described the offer as implying a fully diluted equity value of approximately A$62 million. That announced valuation included approximately A$13 million in expected proceeds from the separate Pet Chemist sale and was subject to net-debt, working-capital and other purchase-price adjustments. It is an announced valuation basis, not an additional cash payment of A$62 million to shareholders. Mad Paws’ July 22, 2025 ASX announcement set out those terms.
What Rover acquired—and what it did not
The pet-care marketplace
Rover acquired Mad Paws’ online marketplace for pet-care services, including bookings for pet sitting, walking, daycare and grooming. The acquisition announcement described the platform as having more than 300,000 active pet parents, 70,000 registered providers and more than 400,000 transactions in 2024. These are figures reported by Rover in 2025, not independently audited market measurements.

Pet Chemist, Sash and Waggly were outside the deal
The acquisition excluded Mad Paws’ Pet Chemist, Sash and Waggly e-commerce division. Pet Chemist was sold separately to VetPartners Australia for approximately A$13 million in cash consideration, subject to adjustments; Sash and Waggly were slated for closure. Mad Paws’ FY2025 annual report says the Pet Chemist divestment completed on August 29, 2025, and that Sash and Waggly operations had ceased, with closure and deregistration processes underway at the report date. What happens to Mad Paws after the acquisition?
In its November 2025 completion announcement, Rover said Mad Paws was intended to continue as its own brand, based in Sydney and led by co-founder Justus Hammer. That statement describes Rover’s plan at completion; it does not by itself verify present-day operating arrangements.

Rover CEO Brent Turner characterized the closing as a milestone in serving pets on a new continent. Mad Paws co-founder and group CEO Justus Hammer said the partnership would support access to pet care across Australia. These statements explain the companies’ stated rationale, but do not establish specific changes to the marketplace, its services or its booking terms.

Deal timeline
- July 2025: Mad Paws announced a binding scheme implementation deed with Rover, setting out the A$0.14-per-share cash offer and the separate Pet Chemist divestment. Read the ASX announcement.
- August 29, 2025: The Pet Chemist sale to VetPartners Australia completed, according to Mad Paws’ FY2025 annual report.
